These Terms of Service ("Terms") govern your access to and use of Nirmaanly AI's powerful generative text-to-app platform ("Platform"), operated by Nirmaanly Technologies Pvt. Ltd. By creating an account, generating an application, or accessing our APIs, you automatically agree to these Terms in their entirety.

1Account Registration & Eligibility

To use Nirmaanly AI, you must register for an account using accurate and current information. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to form a binding contract. You are solely responsible for maintaining the confidentiality of your account credentials (including OAuth tokens) and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide false information or demonstrate unauthorized sharing of credentials.

2Use of Generated Code & Apps

The apps you generate belong to you.

Any code, source files, applications, or websites generated through Nirmaanly AI using your prompts are owned entirely by you. We grant you a perpetual, worldwide, fully paid-up, royalty-free, transferable license to use, modify, sub-license, sell, and distribute the frontends and backends you build.

However, Nirmaanly AI retains all Intellectual Property (IP) ownership of the underlying proprietary AI generation engines (LLMs), internal architecture frameworks, proprietary templates, logic compilers, and the Nirmaanly Builder platform infrastructure itself. You may not claim ownership over the generation mechanism.

3Subscription, Payments & Refunds

Access to certain premium generation tiers (e.g., Pro, Enterprise) requires a paid subscription. All subscriptions are billed in advance on a recurring basis. Prices are subject to change with a 30-day notice.

Due to the computationally expensive nature of AI infrastructure and inference costs, we do not offer refunds for any subscription fees once generation tokens or compute time have been utilized. Exceptions may be made strictly at our discretion for technical platform failures.

4Acceptable Use & Prohibited Conduct

You explicitly agree not to use Nirmaanly AI to:

Generate illegal, harmful, defamatory, explicit, or abusive content and applications.
Deploy Phishing websites, malware, spyware, or ransomware architectures.
Attempt to reverse engineer our AI models, prompt logic, APIs, or backend architecture.
Use automated scrapers, bots, or scripts to exceed the rate limits defined by your current subscription tier.
Deploy applications that violate the laws of the Republic of India or international governing bodies.
Sell access to the Nirmaanly Platform directly as a "white-labeled" builder without an Enterprise contract.

Violation of these terms will result in immediate termination of your account without a refund and potential legal reporting.

5Indemnification

You agree to indemnify, defend, and hold harmless Nirmaanly AI, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or debt (including attorney's fees) arising from: (a) your use of the Platform; (b) any application or code you generated or deployed using the Platform; (c) your violation of any third-party right, including Intellectual Property rights.

6Limitation of Liability & AI Disclaimer

Nirmaanly AI is provided "as is" and "as available" without warranties of any kind, whether express or implied. While we strive for high-quality, bug-free, and perfectly designed code generation, generative AI can hallucinate, create errors, or output non-performant code.

Absolute Liability Cap: You are ultimately responsible for thoroughly testing and auditing the applications before deploying them to production. In no event shall Nirmaanly AI, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential or punitive damages, including data loss, loss of profits, or server crashes resulting from the code generated by our platform. Our maximum aggregate liability shall not exceed the amount you paid to us in the past twelve (12) months.

7Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Courts situated in Bengaluru, Karnataka, India.
